1- Introduction

This Agreement binds you or the company you represent ("you," or "your") to the terms and conditions set forth herein in connection with your use of Skill Sphere Academy ("our", "we", "company", or "Skill Sphere") software, mobile applications, services, or other offerings on our site (collectively, our "Products"). By using any of the company products or services you agree to become bound by the terms and conditions of this Agreement. If you do not agree to all or part of the terms and conditions of this Agreement, do not use company’s products; Your continued use of the Site following the posting of changes to this policy will be deemed your acceptance of those changes. Company's acceptance is expressly conditioned upon your acceptance of all the terms and conditions of this Agreement, without limitation of any terms or conditions of such Agreement. If these terms and conditions are considered an offer by the company, acceptance is expressly limited to these terms.

2- Additional Terms

If you have signed up previously with our company or using any of the products, you are also subject to the relevant terms and conditions contained here in Egypt, our country of domicile.

3- The Subject of the Mentor

Our products enable learners ("Learners") to connect with independent contractor instructors (the "Instructors") who provide live and recorded instruction, tutoring, and learning services through our online classrooms (the "Courses"). Learners and instructors are, collectively, "Users."

Products include, without limitation, producing, facilitating, hosting courses, and supporting materials, and taking feedback from users.

Skill Sphere Academy reserves the right to revise these terms at its sole discretion at any time by posting the changes on the website. Changes become effective thirty (30) days after posting. Your continued use of products after a change becomes effective shall mean that you accept those changes.

Skill Sphere Academy may modify the products and/or services or discontinue their availability at any time by its sole discretion.

You are solely responsible for all service, telephony, data charges, and/or other fees and costs associated with your access to and use of the products.

4- General Disclaimer

Skill Sphere Academy is only a marketplace for instructors and learners. We are not liable for interactions or disputes between instructors and learners. We do not control the content posted on the platform and cannot guarantee its accuracy or legality. Users access and use such content at their own risk.

5- Conduct

You may only access the products for lawful purposes and agree not to misuse the platform or its content in any illegal or harmful manner. Any misuse may result in termination of access.

6- Specific Obligations of Learners

You represent and warrant that you:

- Are over 18 years of age or use the platform under supervision.

- Will comply with all applicable Egyptian laws.

- Will not upload harmful or offensive content.

- Will not reproduce or distribute any content without permission.

7- Registration

Users are responsible for maintaining the confidentiality of their accounts and passwords and for all activity under their accounts.

8- Subscription and Cancellation

Your subscription is valid on a monthly or yearly basis depending on your plan. You may cancel before the next billing cycle to avoid charges. Refunds are not issued once payment is processed.

9-Content, Licenses & Permissions

All materials and content on the platform remain the intellectual property of their owners. You are granted a limited, non-transferable license to use paid content for educational purposes.

10- Trademarks

All trademarks and logos on the platform are protected by law. Unauthorized use is prohibited.

11- Warranty Disclaimer

Skill Sphere Academy provides its services "as is" without warranties of any kind.

12- Content Removal

Skill Sphere Academy reserves the right to remove content lacking proper copyright permissions.

13- Limitation of Liability

To the extent permitted by Egyptian law, neither party shall be liable for indirect or consequential damages.

14- Termination

Skill Sphere Academy may terminate your access for violating these terms. You may also discontinue use at any time.

15- Availability

We do not guarantee uninterrupted service. Maintenance and internet delays may affect access.

16- Third-Party Links

We are not responsible for the content or practices of third-party websites linked from our platform.

17- Force Majeure

We are not liable for delays caused by events beyond our control, such as natural disasters or government actions.

18- Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of Egypt. Disputes shall be subject to the jurisdiction of Egyptian courts.

19- Miscellaneous

If any part of these terms is held invalid, the rest shall remain in effect. Failure to enforce any provision does not constitute a waiver.
